These Terms of Service (“Terms”) govern your access to and use of MyOnlineInventory.com (“MyOnlineInventory,” “we,” “our,” or “us”), a software-as-a-service (SaaS) product fully owned and operated by GreenLot USA. By using myonlineinventory.com and related services (the “Services”), you agree to these Terms.
1. Eligibility
You must be at least 18 and able to enter a binding contract.
2. Account Registration
You’re responsible for your account credentials and activity. Notify help@myonlineinventory.com of any unauthorized use.
3. Acceptable Use
No unlawful, harmful, or disruptive use; no reverse engineering or unauthorized access.
4. Dealer & Inventory Data
Ownership of Uploaded Content. As between you and GreenLot USA, all data, images, listings, descriptions, copy, media, lead records, and other materials you upload or cause to be uploaded to the Services ("Uploaded Content") are owned by GreenLot USA upon submission. To the fullest extent permitted by law, you hereby assign and irrevocably transfer to GreenLot USA all rights, title, and interest in and to the Uploaded Content (excluding payment credentials and other personal information governed by privacy laws).
Our Use. We may use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and display, and otherwise exploit the Uploaded Content worldwide in any media for any lawful business purpose, including without limitation: operating and improving the Services, analytics, training and quality assurance, demonstrations and case studies, advertising and marketing (including public display), and product development, without additional consent or compensation.
Your Access. While your subscription is active and your account is in good standing, we grant you a limited, non-exclusive right to access and export copies of the Uploaded Content for your internal business purposes.
Personal Information. Our handling of personal information within the Uploaded Content is subject to our Privacy Policy and applicable data-protection laws.
Your Representations. You represent and warrant that you have obtained all rights and consents necessary to upload the Uploaded Content and to grant (and effectuate) the foregoing rights, and that the Uploaded Content does not infringe, misappropriate, or violate any third-party rights or laws.
5. Payment & Subscription Terms
Subscriptions are billed monthly or annually and are non-refundable unless we say otherwise. We may change pricing with 30 days’ notice to existing customers.
6. Service Availability & Modifications
We may modify or discontinue features at any time. We do not guarantee uninterrupted availability.
7. Intellectual Property
All Service materials (excluding your data) are owned by GreenLot USA or its licensors. You get a limited, non-transferable license to use the Services under these Terms.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT). YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF THE SERVICES AND ANY DECISIONS OR ACTIONS BASED ON OUTPUT FROM THE SERVICES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENLOT USA, MYONLINEINVENTORY, AND THEIR AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, LOST SALES, LOST DATA, LOSS OF GOODWILL, OR DOWNTIME; EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions don’t allow certain limits; in those places, we limit liability to the fullest extent allowed.
10. Covenant Not to Sue (Court Actions Waived)
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU IRREVOCABLY COVENANT NOT TO FILE OR PARTICIPATE IN ANY LAWSUIT IN ANY COURT AGAINST GREENLOT USA OR MYONLINEINVENTORY ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS; ALL DISPUTES MUST BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION AS SET OUT BELOW. This does not prevent: (a) either party seeking provisional or injunctive relief in court to protect IP or confidential information, or (b) qualifying small-claims actions.
11. Binding Arbitration; Class Action & Jury Trial Waiver
a. FAA & Administrator. The Federal Arbitration Act ("FAA") governs this section. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by AAA under its Commercial Arbitration Rules (or, if applicable, the Consumer Rules). A single arbitrator will preside. Venue (seat) is Greenville County, South Carolina, unless we both agree otherwise; remote appearances are permitted.
b. No Class or Representative Actions. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF.
c. Jury Trial Waiver. IF, FOR ANY REASON, A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.
d. Fees & Award. Each party pays its own attorneys’ fees and costs, unless the arbitrator awards otherwise under applicable law or AAA rules. The arbitrator may award any relief available in court (subject to these Terms’ limitations).
e. Small-Claims Carve-Out. Either party may bring an individual claim in small-claims court in Greenville County, SC, if it qualifies.
f. Opt-Out. You may opt out of arbitration by sending a written notice to help@myonlineinventory.com within 30 days of first accepting these Terms. If you opt out, Section 10’s covenant not to sue still applies except as prohibited by law.
12. Limitation on Time to File Claims
Any claim arising out of or related to the Services or these Terms must be filed within one (1) year after the claim accrues; otherwise, it is permanently barred.
13. Indemnification
You will defend, indemnify, and hold harmless GreenLot USA, MyOnlineInventory, and their affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your data, your use of the Services, or your violation of these Terms or applicable law.
14. Export & Compliance
You’ll comply with all applicable export, sanctions, and anti-corruption laws.
15. Governing Law & Venue
These Terms are governed by South Carolina law (without conflicts principles) and the FAA for arbitration. Subject to Section 11, exclusive venue is in the state or federal courts of Greenville County, South Carolina.
16. Changes to These Terms
We may update these Terms; material changes will be notified via email or in-app before they take effect. Continued use after the effective date constitutes acceptance.
17. Miscellaneous
Severability, waiver, and assignment apply. These Terms are the entire agreement regarding the Services and supersede prior agreements. Sections intended to survive (including 4, 7–13, 15–17) survive termination.
